1. Definitions
- "Verdantia", "we", "us", "our" — the sole proprietorship operating under the name Verdantia, registered and based in George Town, Pulau Pinang, Malaysia.
- "User", "you", "your" — any individual who accesses the Verdantia website or enquires about or engages Verdantia's services.
- "Services" — the three service types offered by Verdantia: the Public Information Session on Estate Paperwork, the Document Locator and Index Build, and the Multi-Household Records Coordination engagement.
- "Engagement Letter" — the written document signed by both parties before any Service commences, specifying scope, fee, timeline, and deliverables.
- "Agreement" — these Terms and Conditions, together with any applicable Engagement Letter.
- "Website" — the Verdantia website accessible at https://verdantidat.pro.
2. Acceptance of Terms
By accessing the Website or enquiring about the Services, you confirm that you have read and understood these Terms and Conditions and agree to be bound by them. If you do not agree, please do not use the Website or engage Verdantia's Services.
You must be at least 18 years of age and have full legal capacity to enter into a binding agreement. Where a Service is engaged on behalf of a family or household, the person who signs the Engagement Letter confirms they have authority to do so on behalf of all participating parties.
3. Description of Services
Verdantia provides clerical, archival, and educational support in connection with household papers and inheritance documentation. The three Services currently offered are:
- Public Information Session on Estate Paperwork (RM 500): A two-hour monthly group session explaining, in general terms, the categories of documents that arise in Malaysian estate administration and the public bodies involved. Every statement cites its published source. No individual advice is given; no papers are reviewed or drafted.
- Document Locator and Index Build (RM 1,540): A four-appointment clerical engagement producing a written index of one household's papers, on-site scanning of chosen items, encrypted digital copies for named family members, and a printed booklet. Descriptive work only — no interpretation of document content.
- Multi-Household Records Coordination (RM 4,500): A nine-month engagement covering inventory visits to multiple households, a consolidated index, archival treatment of fragile originals, a written custody agreement, and quarterly coordinator review calls.
The Services are organisational and archival in scope. Verdantia does not provide legal, financial, tax, or any other regulated professional advice. All regulated questions are referred in writing to qualified professionals.
Services are available to clients based in Malaysia. Remote coordination visits outside Peninsular Malaysia may be subject to additional travel arrangements discussed in the Engagement Letter.
4. Engaging a Service
An engagement is formed when:
- For the monthly session: Verdantia confirms your registration in writing and receives payment.
- For the Index Build or Multi-Household Coordination: both parties sign the Engagement Letter and Verdantia receives the agreed initial payment.
An enquiry or expression of interest does not constitute a binding engagement. No work commences until the above steps are complete.
5. Payment Terms
All fees are stated in Malaysian Ringgit (RM) and are inclusive of any applicable tax unless otherwise stated in the Engagement Letter.
- Monthly Session: Full payment is due at registration. No work commences before payment is received.
- Document Index Build: 50% of the fee is due on signing the Engagement Letter; the remaining 50% is due on delivery of the completed index and booklet.
- Multi-Household Coordination: The payment schedule is set out in the Engagement Letter, typically in three instalments aligned with the quarterly review calls.
Payment may be made by bank transfer to the account details provided in the invoice. Verdantia does not accept cash payments above RM 1,000 in a single transaction.
Cancellations and refunds: If you cancel a session registration more than 48 hours before the session date, the fee will be refunded in full. Cancellations within 48 hours of the session are non-refundable. For Index Build and Coordination engagements, cancellation terms are set out in the Engagement Letter. Where Verdantia is unable to fulfil a confirmed engagement for reasons within our control, a full refund of any amounts paid will be issued within 14 days.
6. User Responsibilities
When using the Website or engaging the Services, you agree to:
- Provide accurate and complete information when registering for a session or signing an Engagement Letter
- Ensure that all family members whose data will be recorded during an engagement have been informed and have consented to their data being processed by Verdantia for the purposes set out in the Engagement Letter
- Not present documents to the coordinator that you do not have authority to handle
- Not use the Website for any unlawful purpose or in a way that disrupts its operation
- Not attempt to obtain advice from Verdantia staff that falls outside the scope of the agreed Service
7. Intellectual Property
All content on the Website — including text, design elements, the source citation format, the session materials, and the index template — is owned by or licensed to Verdantia. You may not reproduce, distribute, or adapt any of this content without written permission from Verdantia.
The index, custody agreement, and booklet produced for your household during an engagement are your property. Verdantia retains no ongoing rights to the deliverables once the engagement closes and Verdantia's copies are deleted.
8. Disclaimers
The Services are provided on the basis described in these Terms and in the applicable Engagement Letter. Verdantia does not:
- Provide legal, financial, tax, or estate administration advice of any kind
- Interpret the content or significance of any document it describes or indexes
- Represent that the index it produces is legally complete or admissible in any proceeding
- Represent that attendance at a session will be sufficient to manage any individual's estate administration without professional assistance
General information provided in sessions cites its published source. Verdantia does not verify that the information in those sources is current at the time of any particular session. Attendees are encouraged to consult the original published sources directly and to seek qualified professional advice before acting on any information.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Verdantia's total liability to you for any loss arising out of or in connection with the Services or the Website shall not exceed the total fees you have paid to Verdantia in respect of the relevant Service.
Verdantia is not liable for:
- Indirect, consequential, or special loss
- Loss of data, documents, or records unless caused by Verdantia's negligence during an engagement
- The actions or advice of any professional listed in the referral directory
- Any outcome of estate administration proceedings
Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
10. Indemnification
You agree to indemnify and hold Verdantia harmless from any claim, loss, or expense (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Website, or any false or misleading information you provide to Verdantia during a session registration or engagement.
11. Termination
Either party may terminate a signed Engagement Letter on written notice if the other party materially breaches its obligations and fails to remedy that breach within 14 days of receiving written notice of it.
Verdantia may also suspend or terminate an engagement immediately if it forms the view that the scope of the engagement has been or is being used to circumvent legal requirements or to obtain regulated advice through a clerical service. In this event, fees paid for work already carried out are non-refundable; fees paid in advance for work not yet carried out will be refunded within 14 days.
On termination, Verdantia will deliver to you all work product produced to that point, delete its copies, and confirm deletion in writing. Sections 7, 8, 9, 10, and 13 of these Terms survive termination.
12. Confidentiality
Verdantia treats all information shared during an engagement as confidential. We do not disclose details of any engagement to any person outside the engagement without your written consent, except where required to do so by law or by a competent authority in Malaysia.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Before commencing any formal proceedings, the parties agree to attempt to resolve any dispute by direct negotiation. Either party may initiate this process by writing to the other describing the issue. If the dispute is not resolved within 30 days of that notice, either party may proceed to formal resolution.
The Consumer Protection Act 1999 (Malaysia) may apply to certain transactions with individual consumers. Nothing in these Terms limits rights that cannot be excluded under that Act or any other applicable Malaysian consumer protection legislation.
14. General Provisions
- Entire agreement: These Terms, together with any applicable Engagement Letter, constitute the entire agreement between the parties in relation to the relevant Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by Verdantia to enforce any right under these Terms does not constitute a waiver of that right.
- Assignment: You may not assign your rights under an Engagement Letter without Verdantia's written consent. Verdantia may assign its rights to a successor entity, provided the successor agrees to be bound by these Terms.
- Notices: Formal notices under these Terms must be in writing and sent by email to the addresses specified in the relevant Engagement Letter or to [email protected].
15. Changes to These Terms
Verdantia may update these Terms from time to time. The revised version will be posted on this page with an updated date. Where changes materially affect an active Engagement Letter, we will notify you by email. Continued use of the Website after the updated Terms are posted constitutes acceptance of the changes.
